Biography

Miguel Gimeno Ribes (Valencia, 1988) holds Licentiate degrees both in Law (Hons.), Business Administration (Hons.), and Musicology, as well as a Masters of Science of Law (Hons.), and a Doctor of Philosophy in Law (Hons.) from the University of Valencia. After a four-year period as Graduate Research Assistant while writing his doctoral dissertation, he was hired by the Max Planck Institute in Munich as a Senior Research Fellow (Wissenschaftlicher Referent) and was a member of a research group devoted to the interdisciplinary study of Securities Law and Financial Regulation (Otto-Hahn-Gruppe zur Finanzmarktregulierung), with which he still actively collaborates. In 2016 he was appointed Assistant Professor of Commercial and Company Law and hence returned to his Alma Mater.

Financed by the DAAD, the Max Planck Society, and the Spanish Ministry of Economy and Competitiveness, he has been doing research stays at the Universities of Munich, Oxford, and Florence, as well as at the Max Planck Institute in Hamburg, and took part in the Postgradute Visiting Researcher Programme at Harvard Law School. In all these places, he has been conducting research on various issues related to Company, Contract, and Securities Law, always doing it from a comparative and European-based point of view.

He has written two monographs on company acquisitions (La protección del comprador en la adquisición de empresa. Estudio comparado de los ordenamientos español y alemán, Granada, Comares, 2013 [Buyer's Protection in Company Acquisitions. A Spanish-German Comparative Study]) and merger leveraged buy-outs (Endeudamiento empresarial y fusión de sociedades. Contribución al estudio de la fusión apalancada, Madrid, Marcial Pons, 2015 [Leverage and the Merger of Companies. A Contribution on Merger Leveraged Buy-Outs]), as well as more than thirty papers including articles, book chapters, and other minor contributions, among which both "Aproximación a la naturaleza jurídica del crowdfunding", Revista de Derecho Mercantil, núm. 291, 2014, pp. 451-490 ["On the Legal Nature of Crowdfunding"] and "La exclusión voluntaria de la cotización bursátil", Revista de Derecho Bancario y Bursátil, núm. 145, 2017, pp. 91-153 ["Voluntary Delisting from Stock Exchanges"] can be highlighted. Furthermore, he has been giving lectures and presentations on all of these topics in several universities and other forums both for academics and legal practitioners in Spanish, German, and English both in Europe and in the United States.
